Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
The Blue Coat Systems’ Nominating Committee met on August 10, 2005 to discuss the slate of directors for its 2005 Annual Meeting of Stockholders. At that time, Marc Andreessen, who has been a member of the Board of Directors since 1999, informed Blue Coat Systems’ Nominating Committee that he will not stand for re-election at Blue Coat Systems’ 2005 Annual Meeting of Shareholders. Mr. Andreessen will continue to serve on the Board of Directors until the Annual Meeting.
