In this letter, we have recited the comments from the Staff in italicized, bold type and have followed each comment with Blue Coat’s response.

Because you have not yet filed your definitive proxy statement, please either: (i) amend your registration statement to include the information omitted from the 10-K, or (ii) file an amended Form 10-K that includes the applicable Part III information.
