(e) At the 2009 Annual Meeting of Stockholders of IVAX Diagnostics, Inc. (the “Company”) held on June 3, 2009, the Company’s stockholders approved, among other things, the IVAX Diagnostics, Inc. 2009 Equity Incentive Plan (the “2009 Plan”). The full text of the 2009 Plan is included as Appendix A to the Company’s Definitive Proxy Statement on Schedule 14A, filed with the Securities and Exchange Commission on May 8, 2009 (the “Proxy Statement”), and the proposal relating to the 2009 Plan, which contains a summary of the material terms and conditions of the 2009 Plan, is included on pages 22 through 27 of the Proxy Statement. The full text of the 2009 Plan and the proposal relating to the 2009 Plan are incorporated herein by reference.
