Item 8.01. Other Events
On December 14, 2005, the Board of Directors of Intersil Corporation (the “Company”) authorized the repatriation, pursuant to the American Jobs Creation Act of 2004, of $150 million of accumulated foreign earnings. Under law, the Company has until December 30, 2005 to repatriate the earnings at a reduced effective tax rate. As a result of this action, the Company will record an additional estimated tax expense of $7 million, or approximately $0.05 per share, in the fourth quarter of fiscal year 2005.
