Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers
As disclosed on February 22, 2006, Vectren Corporation (the Company) announced the election of Michael L. Smith to its Board of Directors. At that time Mr. Smith had not yet been assigned to any Board Committees. On July 25, 2006, Mr. Smith assumed responsibilities on the Board’s audit committee and is expected to assume his duties on the compensation and benefits committee at its next meeting on August 9, 2006.
