Item 5.05. Amendment to the Registrant’s Code of Ethics, or Waiver of a Provision of the Code of Ethics.
On June 12, 2008, the Board of Directors (the “Board”) of SulphCo, Inc. (the “Company”) approved and adopted a Code of Business Conduct and Ethics (the “Code of Conduct”). The Code of Conduct applies to all directors, officers and employees of the Company and replaces the Code of Ethics adopted by the Board on March 12, 2004.
A copy of the Code of Conduct is attached hereto as Exhibit 14.1.
