Item 7.01 Regulation FD Disclosure
On November 5, 2012, Energizer Holdings, Inc. (the "Company") announced that its Board of Directors declared a quarterly dividend of forty cents ($0.40) per share on its Common Stock, payable on December 12, 2012 to all shareholders of record as of the close of business on November 20, 2012. A copy of the press release announcing the dividend declaration is attached hereto as Exhibit 99.1 and incorporated by reference herein.
