Explanation of Responses:

1. No price was paid, as the shares were acquired by virtue of the Issuer determining to issue shares of Common Stock in lieu of cash payment of $30,000 in 2020 Board of Directors fees payable to Mr. Smith. The number of shares that were issued was determined by the Issuer based on the Bloomberg Prior 90 Day Volume Weighted Average Price (VWAP) as of January 31, 2021, which equaled $5.3166 per share.
