Item 5.03 Amendment to Articles of Association or Bylaws; Change in Fiscal Year
On February 27, 2023, the Board of Directors of Align Technology, Inc, a Delaware corporation (the "Company"), approved an amendment and restatement of the Company’s bylaws to add a proxy access provision (the "Amended and Restated Bylaws"). The Amended and Restated Bylaws include a new Section 2.5, Proxy Access for Director Nominations, which permits a stockholder, or a group of up to 20 stockholders, owning at least 3% of the Company’s outstanding common stock continuously for at least three years to nominate and include in the Company’s proxy materials director nominees constituting up to the greater of two individuals or 20% of the Board of Directors, provided that the stockholders and the nominees satisfy the requirements specified in the Bylaws.
