| 1. The reporting person is a member of Petra Investment Holdings, LLC ("Sponsor"). He disclaims any pecuniary interest in the securities except to the extent of his ownership interest in Petra Investment Holdings, LLC. |
| 2. Includes securities underlying private warrants of the Issuer. The purchase of these warrants was made on a private placement basis and was consummated pursuant to the Sponsor's Subscription Agreement for Private Warrants, dated October 7, 2020, simultaneously with the underwriters partial exercise of their over-allotment option on October 16, 2020 in connection with the Issuer's initial public offering. |
| 3. Each whole warrant entitles the holder to purchase one share of common stock at a price of $11.50 per share, subject to adjustment in the event of certain capital-raising transactions. |
