Item 8.01	Other Events
	Patriot National Bancorp, Inc., the parent of Patriot National Bank, announced on September 26, 2006 the sale of 1,320,000 shares of its common stock at a public offering price of $22.00 per share in a firm commitment underwritten public offering, as described in the Press Release attached. On September 29, 2006, the offering closed with the sale of a total of 1,500,000 shares of common stock at $22.00 per share, including an additional 180,000 shares that were sold to the underwriter pursuant to its exercise of the over-allotment option.
