Item 5.02 Election of Directors
On August 6, 2007, the Board of Directors of Fidelity D & D Bancorp, Inc. (the “Corporation”) appointed Steven C. Ackmann, the Corporation’s President and Chief Executive Officer, as a Class C Director to serve until 2010 pursuant to article ten of the Corporation’s By-Laws and item two of Mr. Ackmann’s Employment Agreement dated July 11, 2007. A copy of the related press release is being furnished as Exhibit 99.1 to this Form 8-K.
