This Amendment No. 2 (this “Amendment”) to the Tender Offer Statement on Schedule TO (together with this Amendment No. 2 and any other amendments and supplements thereto, the “Schedule TO”) is being filed by (i) Tomahawk Acquisition, LLC, a Delaware limited liability company (“Parent”), (ii) Tomahawk Merger Sub, Inc., a Delaware corporation and a direct wholly-owned subsidiary of Parent (“Purchaser”), and (iii) Vista Equity Partners Fund IV, L.P., an affiliate of each of Parent and Purchaser (“VEPF IV”). This Schedule TO relates to the tender offer for all of the outstanding shares of common stock, par value $0.01 per share (the “Shares”), of Websense, Inc., a Delaware corporation (the “Company”), at a price of $24.75 per Share net to the seller in cash without interest and less any applicable withholding taxes, if any, upon the terms and conditions set forth in the offer to purchase dated May 28, 2013 (the “Offer to Purchase”), a copy of which is attached as Exhibit (a)(1)(A), and in the related letter of transmittal (the “Letter of Transmittal”), a copy of which is attached as Exhibit (a)(1)(B), which, together with any amendments or supplements, collectively constitute the “Offer.”
Except as otherwise indicated in this Amendment, the information set forth in the Schedule TO remains unchanged. Capitalized terms used but not defined herein have the meanings ascribed to them in the Schedule TO.
All the information set forth in the Offer to Purchase is incorporated by reference herein in response to Items 1 through 9 and Item 11 in this Schedule TO, and is supplemented by the information specifically provided in this Schedule TO.
Item 11. Additional Information
Item 11(a) of the Schedule TO and the disclosure under Section 16 “Agreements, Regulatory Requirements and Legal Proceedings” of the Offer to Purchase are hereby amended and supplemented by inserting the following paragraph into the Schedule TO as the last paragraph under the heading “California Litigation”:
On May 30, 2013, a putative stockholder class action complaint was filed in the Superior Court of the State of California, County of San Diego, captioned Laborers’ Local #231 Pension Fund v. Websense, Inc., et al., Case No. 37-2013-00050879-CU-BT-CTL. The complaint names as defendants the Company, the Individual Defendants, Vista Equity Partners, Parent and Purchaser. The complaint alleges that the Individual Defendants breached their fiduciary duties in connection with the proposed sale of the Company to the Parent, Purchaser and Vista Equity Partners, and that the other defendants aided and abetted these alleged breaches of fiduciary duty. Specifically, the complaint asserts that the Individual Defendants breached their fiduciary duties to the Company’s public stockholders by, among other things, (i) agreeing to sell the Company to Parent, Purchaser and Vista Equity Partners at an unfair price, (ii) implementing an unfair process and (iii) agreeing to certain provisions of the Merger Agreement that are alleged to favor Parent and Purchaser and deter alternative bids. The complaint seeks injunctive relief and, among other remedies, and an award of costs and expenses, including a reasonable allowance for attorneys’ and experts’ fees. The Company, Parent and Purchaser believe the plaintiff’s allegations lack merit and will vigorously contest them. The foregoing description is qualified in its entirety by reference to the complaint which is filed as Exhibit 99(a)(5)(C).
Item 11(a) of the Schedule TO and the disclosure under Section 16 “Agreements, Regulatory Requirements and Legal Proceedings” of the Offer to Purchase are further amended and supplemented by inserting a new heading titled “Delaware Litigation” after the last paragraph under the heading “California Litigation” and including the following paragraph into the Schedule TO as the only paragraph under the new heading:
On May 31, 2013, a putative stockholder class action complaint was filed in the Court of Chancery of the State of Delaware, captioned Shelley Willner v. Websense, Inc., et al., Case No. 8614. The complaint names as defendants, the Company, the Individual Defendants, Purchaser, Parent and VEPF IV. The complaint asserts the following causes of action: breach of fiduciary duty against the Individual Defendants and aiding and abetting a breach of fiduciary duty against the Company, VEPF IV, Parent and Purchaser. The complaint includes allegations that the Individual Defendants breached their fiduciary duties by failing to take steps to maximize the value of the Company to the public stockholders and to avoid competitive bidding, as well as providing materially inadequate disclosures and material disclosure omissions. The plaintiff seeks certification as a class, an injunction prohibiting consummation of the proposed transaction, rescissory damages to the extent the proposed transaction has already been consummated, accounting for profits obtained as a result of the Individual Defendants’ breaches of fiduciary duties and fees and costs associated with the action. The Company, Parent and Purchaser believe the plaintiff’s allegations lack merit and will vigorously contest them. The foregoing description is qualified in its entirety by reference to the complaint which is filed as Exhibit 99(a)(5)(D).
