Explanation of Responses:

1. Reflects shares withheld to satisfy tax withholding obligations on restricted stock units that vested.

2. The options become exercisable for 25% of the shares on each of the first, second, third, and fourth anniversary dates.

3. The options become exercisable for 25% of the shares on February 17th of each of 2016, 2017, 2018 and 2019 provided the grantee remains continuously employed by the Company as of those respective dates.
