Item 8.01. OTHER EVENTS
Video Processing Technologies, Inc., a subsidiary of UTEK Corporation (AMEX: UTK), was acquired by Broadcast International, Inc., in a tax-free stock-for-stock exchange. Broadcast International, Inc. issued 944,360 unregistered shares of common stock to UTEK Corporation in exchange for the issued and outstanding shares of Video Processing Technologies, Inc. The shares acquired in the exchange are restricted and may only be resold pursuant to the requirements of the Securities Act of 1933. The value of the consideration will be determined based on a valuation in accordance with UTEK’s valuation policy as of the closing date of the transaction.
Video Processing Technologies, Inc. holds the exclusive license to two patent pending technologies developed at the University of California, San Diego, which provides for smoother motion animations on wireless systems that normally lack sufficient bandwidth to sustain frame rates high enough to avoid jerky movement. The exchange was consummated on January 27, 2006 in accordance with applicable law.
