Item 8.01. OTHER EVENTS
Hydrocarbon Synthesis Technologies, Inc., a subsidiary of UTEK Corporation (AMEX: UTK), was acquired by Kwikpower International, plc, in a tax-free stock-for-stock exchange. Kwikpower International plc issued a £1.29 million convertible debenture to UTEK Corporation in exchange for 100% of the issued and outstanding shares of Hydrocarbon Synthesis Technologies, Inc. The value of the consideration will be determined based on a valuation in accordance with UTEK’s valuation policy as of the closing date of the transaction.
Hydrocarbon Synthesis Technologies, Inc. holds the exclusive license to a plant patent which claims a distinctive strain of the green algae,Botryococcus that is unique in the quality and quantity of the liquid hydrocarbons it produces. The exchange was consummated on May 12, 2006 in accordance with applicable law.
