Item 8.01. OTHER EVENTS
Infinite Identification Technologies, Inc., a subsidiary of UTEK Corporation (AMEX & LSE-AIM: UTK), was acquired by Manakoa Services Corporation, in a tax-free stock-for-stock exchange. Manakoa Services Corporation issued issued 95,000 unregistered shares of series A convertible preferred stock to UTEK Corporation in exchange for 100% of the issued and outstanding shares of Infinite Identification Technologies, Inc. The shares acquired in the exchange are restricted and may only be resold pursuant to the requirements of the Securities Act of 1933. The value of the consideration will be determined based on a valuation in accordance with UTEK’s valuation policy as of the closing date of the transaction.
Infinite Identification Technologies, Inc. holds a worldwide exclusive license for a reflective wireless technology for RFID and remote sensor applications. The technology was originally developed by a national laboratory for the Department of Defense for covert communication operations and is now declassified. It is designed to utilize modulated-reflectance technology to enhance radio frequency identification tracking systems and sensors.
The exchange was consummated on January 4, 2007 in accordance with applicable law.
