Micro Wireless Technologies, Inc., a subsidiary of UTEK Corporation (AMEX & LSE-AIM: UTK), was acquired by MachineTalker, Inc., in a tax-free stock-for-stock exchange. MachineTalker, Inc. issued 46,500,000 unregistered shares of common stock to UTEK Corporation in exchange for 100% of the issued and outstanding shares of Micro Wireless Technologies, Inc. The shares acquired in the exchange are restricted and may only be resold pursuant to the requirements of the Securities Act of 1933. The value of the consideration will be determined based on a valuation in accordance with UTEK’s valuation policy as of the closing date of the transaction.
Micro Wireless Technologies, Inc. contains a worldwide exclusive license to a technology developed by engineers at the University of South Florida (USF). USF scientists have developed a technique which embeds physical and chemical property sensing capabilities within RF transmission systems, thereby taking a direct conversion approach to micro-wireless sensing technology. This environmental sensor has the potential to essentially combine traditional sensor and telemetry capabilities into one seamless function.
