We are offering 531,915 shares of our common stock and Series B warrants to purchase up to 531,915 shares of our common stock. These securities will be sold together; for every share of common stock purchased by the investor, the investor will receive one Series B warrant to purchase one share of common stock at an exercise price equal to $0.47 per share. We are selling each share of common stock for a purchase price of $0.47.
The Series B warrants will not be listed on any national securities exchange. Our common stock is traded on the NYSE MKT under the symbol “INV.” We have applied to list the common stock being sold in this offering on the NYSE MKT, but there can be no assurance that the NYSE MKT will grant the application. On September 26, 2012, the closing price for our common stock on the NYSE MKT was $0.45 per share. Please see “Summary – Recent Developments” for a discussion of the NYSE MKT’s approval of our financial plan in response to the deficiency notice we received on June 12, 2012 and a discussion of the second deficiency notice we received from the NYSE MKT on August 16, 2012.
As of September 26, 2012, the aggregate market value of our outstanding common stock held by non-affiliates, or the public float, was approximately $6.7 million which was calculated based on 14,831,344 shares of outstanding common stock held by non-affiliates and on a price per share of $0.45, the closing price of our common stock on the NYSE MKT on September 26, 2012. Pursuant to General Instruction I.B.6 of Form S-3, in no event will we sell our securities in a public primary offering with a value exceeding more than one-third of our public float in any 12-month period so long as our public float remains below $75.0 million. With the exception of approximately $250,000 of our securities sold on June 20, 2012 and the securities being offered hereunder, we have not offered any securities pursuant to General Instruction I.B.6 of Form S-3 during the 12 calendar months prior to and including the date of this prospectus supplement.

Recent Developments
Potential Sale of Strategos Operating Division
We are currently negotiating a spin-off of our Strategos operating division, which provides innovation consulting services to clients and comprises a significant portion of our strategic services. The spin-off would create an independent company known as Strategos, Inc. We anticipate the spin-off will require us to (i) make cash payments of approximately $150,000 and (ii) transfer assets valued at approximately $100,000, and provide us with (a) a waiver on approximately $1.25 million of accrued bonuses due to personnel of Strategos and (b) earnout and royalty payments of 12.5% on any Strategos revenue that exceeds $9.9 million from the effective date of the spin-off until December 31, 2015. No assurances can be provided that an agreement will be reached on the above terms or at all, or that the spin-off will be completed.
Sale of Operating Divisions
We sold our Pharmalicensing, Global Licensing, Pharma Transfer and Knowledge Express operating divisions (collectively, the “Divisions”) to IP Technology Exchange, Inc. (the “Purchaser”), effective as of August 31, 2012 (the “Effective Date”), pursuant to an Asset Purchase Agreement dated September 12, 2012 (the “Agreement”). Under the terms of the Agreement, Purchaser will pay us $2,000,000 (the “Purchase Price”), consisting of (i) a lump-sum payment of $600,000 on the Effective Date, (ii) assumption of approximately $70,000 of our debt relating to the Divisions, (iii) quarterly payments of $100,000 through August 2014, and (iv) the remaining balance of the Purchase Price on September 1, 2014. On November 30, 2012, the outstanding balance of the Purchase Price will begin accruing interest at 5% per annum. Purchaser is entitled to a $125,000 reduction in the Purchase Price if all amounts are paid by May 1, 2013.
The Divisions provide a suite of consulting and licensing services to assist clients with business development tools, intellectual property research and licensing capabilities, and technology acquisition advice.

In connection with the Agreement, we entered into a partnering agreement with the Purchaser which provides a commission for client leads provided by us to Purchaser, and vice versa.
First NYSE MKT Deficiency Notice – Plan Approved
On August 24, 2012, we received notice that the NYSE MKT LLC (the “Exchange”) approved our plan for regaining compliance with Section 1003(a)(iv) of the Exchange Company Guide by November 30, 2012 (the “Financial Impairment Plan”). Previously, on June 12, 2012, the Exchange notified us that we were not in compliance with Section 1003(a)(iv) of the Exchange Company Guide in that the Exchange believed that we had sustained losses which are so substantial in relation to our overall operations or existing financial resources, or our financial condition had become so impaired that it appeared questionable, in the opinion of the Exchange, as to whether we would be able to continue operations and/or meet our obligations as they matured.
Under the Financial Impairment Plan, we may be able to continue the listing of our common stock on the Exchange during the Financial Impairment Plan period, up to November 30, 2012, during which time we will be subject to periodic reviews to determine whether we are making progress consistent with such Plan. If the Exchange determines that we are not making progress consistent with the Financial Impairment Plan, then the Exchange may initiate delisting proceedings.
Second NYSE MKT Deficiency Notice
On August 16, 2012, we received notice from the Exchange indicating that we are not in compliance with Section 1003(a)(iii) of the Exchange Company Guide because we reported stockholders’ equity of less than $6,000,000 at June 30, 2012 and losses from continuing operations and/or net losses in our five most recent fiscal years ended December 31, 2011.
We have supplemented the Financial Impairment Plan with our plan for regaining compliance with Section 1003(a)(iii) by February 17, 2014 (the “Equity Plan,” and together with the Financial Impairment Plan, the “Plans”). If the Exchange accepts the Equity Plan, then we may be able to continue the listing of our common stock on the Exchange during the Equity Plan period, up to February 17, 2014, during which time we will be subject to periodic reviews to determine whether we are making progress consistent with such Plan. If the Exchange fails to accept the Equity Plan or if the Exchange determines that we are not making progress consistent with the Plans, then the Exchange may initiate delisting proceedings.
Resignations from Board of Directors
On August 8, 2012, Bruce Lucas, a member of our Board of Directors, notified us that he was resigning from our Board of Directors effective immediately. On August 9, 2012, Charlie Pope, the Chairman of our Board of Directors, notified us that he was resigning from our Board of Directors effective immediately. Each director confirmed that his resignation was not a result of any disagreement with us with respect to our policies, operations or practices.
Our Board of Directors has appointed Asa Lanum, our chief executive officer, as the Chairman of our Board of Directors.

The Series B warrants to be issued in this offering to the investor represent the right to purchase up to in the aggregate 100% of the shares of common stock purchased by such investor at an exercise price of $0.47 per share of common stock.
The Series B warrants will be exercisable for a five-year period commencing on the six-month anniversary of the date of their issuance.
The exercise price of the Series B warrants is subject to appropriate adjustment in the event of stock dividends, stock splits, reorganizations or similar events affecting our common stock.
The Series B warrants will be exercisable, at the option of the holder, upon surrender of the Series B warrants to us and payment in cash of the exercise price of the shares of common stock being acquired upon exercise of the Series B warrants or by means of a “cashless exercise” or “net exercise.” Upon the holder’s exercise of the Series B warrants, we will issue the shares of common stock issuable upon exercise of the warrant within three trading days of our receipt of notice of exercise and payment of the aggregate exercise price.

Without an active market, the liquidity of the Series B warrants will be limited. In addition, in the event our common stock price does not exceed the per share exercise price of the Series B warrants during the period when the Series B warrants are exercisable, the Series B warrants will not have any value.

A significant portion of our revenue is derived from a limited number of clients, which may cause our operating results to be unpredictable.
As an innovation services firm, we have derived, and expect to continue to derive, a significant portion of our revenue from a limited number of clients. Our clients typically retain us on an engagement-by-engagement basis, rather than under fixed-term contracts; the volume of work performed for any particular client is likely to vary from year to year and a major client in one fiscal period may not require or decide not to use our services in any subsequent fiscal period. Moreover, a large portion of our new engagements comes from existing clients. Accordingly, the failure to obtain new large engagements or multiple engagements from existing or new clients could have a material adverse effect on the amount of revenues we generate. Innovation consulting segment revenues constituted approximately 70% of our total revenues for 2009. These consulting engagements typically are project-based and non-recurring. Our ability to replace consulting engagements is subject to numerous factors, including the following:

We believe that by focusing on the technology needs of our customers, we are better positioned to generate revenues by providing technology solutions to them. Anti-Takeover Provisions Affecting Our Common Stock
Our certificate of incorporation authorizes the issuance of 1,000,000 shares of preferred stock, which our Board of Directors may generally issue without stockholder approval. The existence of authorized but unissued preferred stock may enable our Board of Directors to render more difficult or discourage an attempt to obtain control of us by means of a merger, tender offer, proxy contest or otherwise.
