Item 9. Regulation FD Disclosure
On May 24, 2004, Concentra Operating Corporation issued a press release announcing the results of its consent solicitation from holders of its 13% Senior Subordinated Notes due 2009 (the “Notes”) to amendments to certain covenants and default provisions of the indenture under which the Notes were issued. A copy of this press release is being furnished as an Exhibit 99.1 to this report.
