These shares are issuable upon the exercise of warrants that were issued pursuant to the terms the Amended and Restated Note Purchase Agreement, dated as of February 20, 2015, as amended, by and among the Registrant and the purchasers named therein. Pursuant to Rule 416 under the Securities Act, this Registration Statement also covers such additional number of shares of common stock that may be issued as a result of stock splits, stock dividends or similar transactions.
