Item 1.01. Entry into Material Definitive Agreement.
On August 24, 2018, Beasley Mezzanine Holdings, LLC (the “Borrower”), a wholly-owned subsidiary of Beasley Broadcast Group, Inc. (the “Company”), entered into the Incremental Term Loan Amendment to Credit Agreement (the “Amendment”), which amends the Credit Agreement, dated as of November 17, 2017, by and among the Company, the Borrower, the other guarantors party thereto, U.S. Bank, National Association, as administrative agent and collateral agent, and the other lenders party thereto (the “Credit Agreement”).
Pursuant to the Amendment, the Borrower is expected to borrow $35.0 million in additional Term Loan B borrowings under the Credit Agreement in connection with the Company’s previously announced pending acquisition ofWXTU-FM in Philadelphia. The interest rate applicable to the additional term loans will be, at the Borrower’s option, the Eurocurrency Rate (as such term is defined in the Credit Agreement) plus 4.00% or the Base Rate (as such term is defined in the Credit Agreement) plus 3.00%. The new term loans will mature in November 2023, along with the existing term loans.
