2. Shares acquired from the determination of the performance factor for and payout of 2020-2022 performance share award under the MetLife, Inc. 2015 Stock and Incentive Compensation Plan.

3. Shares withheld to satisfy the reporting person's tax withholding obligation due on the performance share payout.

4. Withheld for taxes on shares issued for restricted stock units.
