On September 16, 2010, David Braun gave notice of his resignation as the Chief Financial Officer of Vertical Computer Systems, Inc. (the “Company”) which shall be effective at 6:00 pm local time on September 30, 2010. Mr. Braun did not resign as a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices, and Mr. Braun did not furnish a letter to the Company with respect to any such disagreement. Mr. Braun will continue to provide accounting services to the Company and Now Solutions, on a part-time basis, in exchange for remuneration.
