Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers
On May 2, 2005, the Board of Directors of Celebrate Express, Inc. (the “Company”) elected Ms. Estelle DeMusey as a Class II director to fill the vacancy in the Board resulting from Dr. Jack Sansolo’s resignation from the Board in April 2005.

On May 3, 2005, Celebrate Express issued a press release, which announced the election of Ms. Estelle DeMusey as a director of the Company. A copy of the press release is attached to this Current Report as Exhibit 99.1.
