ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
On September 27, 2006 the Company signed a MEMBERSHIP INTEREST PURCHASE AGREEMENT with VIRTUAL PAYMENT SOLUTIONS, LLC., a Nevada Limited Liability Corporation to purchase all of the issued and outstanding units of membership interest of VIRTUAL PAYMENT SOLUTIONS, LLC., a Nevada limited liability corporation.
