Item 5.02(b) Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On September 13, 2004, Clayton W. Lewis resigned as President and Chief Operating Officer of Onvia, Inc. Mr. Lewis will continue to serve as an employee of Onvia until September 17, 2004. His departure is not due to any disagreement with the company’s management or the board of directors. Mr. Lewis will not receive any severance under his employment agreement.
