(b) On June 1, 2006, Mr. Alan Docter, a director of GoAmerica, Inc. (the “Company”), submitted his voluntary resignation to the Company, effective immediately. Mr. Docter was Chairman of the Compensation Committee and a member of the Audit and Nominating Committees.
(d) On June 1, 2006, the Board of Directors elected D. Sue Decker as a new director to fill the vacancy created by Alan Docter’s resignation. Ms. Decker shall serve on the Company’s Audit Committee.
There are no arrangements or understandings between Ms. Decker and any other person pursuant to which Ms. Decker was elected as a director, and there are no transactions in which Ms. Decker has an interest requiring disclosure under Item 404(a) of Regulation S-K.
