Item 5. Other Events and Regulation FD Disclosure
On October 23, 2003, EarthLink, Inc. (the "Company") issued a press release announcing its Board of Directors authorized the repurchase of an additional $100 million shares of the Company's common stock pursuant to its share repurchase program (the "Repurchase Program"). The Company may repurchase its common stock from time to time in compliance with the Securities and Exchange Commission's regulations and other legal requirements, and subject to market conditions and other factors. The Repurchase Program does not require the Company to acquire any specific number of shares and may be terminated at any time. A copy of the press release is being furnished as Exhibit 99.1 to this Current Report on Form 8-K.
