FINAL AMENDMENT TO TENDER OFFER
This Final Amendment to the Tender Offer Statement on Schedule TO relates to the offer (the “Offer”) by: MacKenzie Northstar Fund 3, LP; MacKenzie Northwest Fund, LP; MPF Northstar Fund 2, LP; MPF Northstar Fund, LP; MacKenzie Income Fund 27, LLC; MacKenzie Blue Ridge Fund III, LP; MacKenzie Flagship Fund 15, LLC; MPF Flagship Fund 10, LLC; MPF Flagship Fund 13, LLC; MPF Flagship Fund 14, LLC; Coastal Realty Business Trust (collectively the “Purchasers”) to purchase up to 500,000 shares of Class M common stock (hereinafter, the “Shares”) in Jones Lang LaSalle Income Property Trust, Inc. (the “Corporation”), the subject company, at a purchase price equal to $8.25 per Share, upon the terms and subject to the conditions set forth in the Offer to Purchase (the “Offer to Purchase”) dated May 28, 2014 (the “Offer Date”) and the related Assignment Form.
This Offer resulted in the tender by shareholders, and acceptance for payment by the Purchasers, of a total of 66,625.845 Class M Shares. Upon completion of the Offer, the Purchasers held an aggregate of approximately 66,625.845 Class M Shares, or approximately 0.2% of the total outstanding Shares.
