Item 4.01. Changes in Registrant’s Certifying Accountant.
On February 18, 2005, the Audit Committee of the Board of Directors of LivePerson, Inc. engaged BDO Seidman, LLP as independent accountant to audit LivePerson’s December 31, 2005 financial statements. During the fiscal years ended December 31, 2002 and 2003 and the subsequent interim period through February 17, 2005, there were no consultations by LivePerson or anyone on its behalf with BDO Seidman, LLP regarding the application of accounting principles to a specific transaction, either completed or proposed, or the type of audit opinion that might be rendered on LivePerson’s financial statements.
