Explanation of Responses:

1. The RSUs were issued to the Reporting Person on February 29, 2016, pursuant to a grant under the Issuer's 2011 Equity Incentive Plan, as amended. One-third of the RSUs will vest on each of (i) March 1, 2017, (ii) March 1, 2018 and (iii) March 1, 2019. Upon vesting, each RSU entitles the Reporting Person to one share of the Issuer's common stock.
