Item 1.01 Entry into a Material Definitive Agreement.
On August 26, 2005, the Compensation Committee of the Board of Directors of Sirenza Microdevices, Inc. (the "Company") approved the following amendments to the Company's Executive Employment Agreement dated as of September 1, 2003 with its Vice President, Chief Accounting Officer and Controller, Gerald Hatley, intended to retain his continued services: (i) an increase of Mr. Hatley's annual salary to $150,000 per annum, (ii) provision for stay bonuses of $5,000 and $15,000 to become payable to him in the event that he remains employed by the Company through August 1, 2006 and 2007, respectively, and (iii) provision for the Company during the term of Mr. Hatley's employment to reimburse tuition and other related costs incurred by him in pursuing a master's degree in business administration at a university in the Denver area.
