Item 1.01 Entry into a Material Definitive Agreement.
Effective August 3, 2006, the Compensation Committee (the "Committee") of the Board of Directors of Sirenza Microdevices, Inc. (the "Company") approved the following incentive bonus payments to an executive officer of the Company under the terms of the Company's previously announced first half of 2006 cash incentive program (the "Plan"):
