Reference is made to the series of Senior Convertible Promissory Notes (the “Notes”) issued by I-many, Inc. (the “Company”) on December 31, 2007.
The Company has recently entered into an Agreement and Plan of Merger, dated April 29, 2009, by and among the Company, Sapphire Stripe Holdings, Inc. (“Buyer”) and Sapphire Stripe Acquisition Company (“Merger Sub”) pursuant to which Merger Sub will merge with and into the Company, and the Company will become a wholly-owned subsidiary of Buyer (the “Merger”).
Pursuant to Section 23(a) of the Notes, the Company hereby gives you notice of a record of the holders of its common stock to be taken on May 26, 2009, for the purpose of determining rights to vote with respect to the Merger.
