Item 8.01 Other Events.
DDi Corp. (the "Company") has designated May 10, 2006 as the date for its next Annual Meeting of Stockholders (the "Annual Meeting").
If a stockholder desires to have a proposal considered for presentation at the Annual Meeting, the proposal must be delivered in writing to the Corporate Secretary of the Company no later than April 6, 2006 and must comply with the requirements of the Company's bylaws and Rule 14a- 8 promulgated under the Securities and Exchange Act of 1934.
If a stockholder, rather than including a proposal in the Company's proxy statement as discussed above, commences his or her own proxy solicitation for the Annual Meeting, or seeks to nominate a candidate for election or propose business for consideration at such meeting, the Company must receive notice of such proposal or nomination no later than April 6, 2006. If the notice is not received by such date, it will be considered untimely, and the Company will have discretionary voting authority under proxies solicited for th e 2006 Annual Meeting of Stockholders with respect to such proposal if presented at the Annual Meeting. Any such notice must comply with the Company's Bylaws.
