Item 1.01 Entry into a Material Definitive Agreement.
On October 17, 2006, the Board of Directors of DDi Corp. (the "Company"), upon approval and recommendation by the Compensation Committee of the Board, approved a new compensation arrangement for non-employee directors, effective immediately on a prospective basis, which is summarized in Exhibit 10.1 to this Current Report on Form 8-K and is incorporated herein by reference. As part of these changes to non-employee director compensation, the Board approved the payment of meeting fees to non-employee directors for attending in person or by telephone a meeting of a committee of which he or she is not a member; provided such attendance is at the invitation of the chairman of the committee.
