Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers
On August 1, 2005, Frontier Oil Corporation (“Frontier”) was informed of the death of director Carl Schafer, who passed away on July 30, 2005 following a brief battle with cancer. Mr. Schafer served as a director of Frontier since 1984 and will be greatly missed. He had served as Chairman of the Audit Committee of Frontier’s Board of Directors since 1990. In addition, Mr. Schafer was a member of the Compensation Committee and Nominating and Corporate Governance Committee. The Nominating and Corporate Governance Committee of Frontier’s Board of Directors has commenced a process to fill the vacant position.
