The Reporting Person is Chairman of The Sharoky Family Foundation, Inc. and is one of three individuals who currently share voting and investment power over the shares held by The Sharoky Family Foundation, Inc. The Reporting Person disclaims beneficial ownership of these securities, and this report shall not be deemed an admission that the reporting person is the beneficial owner of the securities for purposes of Section 16 or for any other purpose.

3. The Reporting Person is a managing member of Baby Gator LLC.
