Item 5.02 | Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. |
On May 3, 2021, Michael A. Volkema retired as a member of the Board of Directors (the “Board”) of Wolverine World Wide, Inc. (the “Company”), effective as of that same date. The size of the Board was reduced from twelve to eleven upon the retirement of Mr. Volkema.

Item 5.03 | Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. |
On May 6, 2021, the Board approved amendments to its Amended and Restated Bylaws (the “Bylaws”). The Bylaws became effective immediately upon approval by the Board. The Bylaws were amended to: (i) clarify certain informational requirements in connection with shareholder nominations for election of directors (Article II, Section 4(g)); (ii) make certain updates to conform with Delaware law, including with respect to the process by which shareholder consents can be delivered (Article II, Section 17) and requirements for shareholders to deliver documents or information to the Company in writing (Article II, Section 18); and (iii) add an emergency bylaw that is applicable during any emergency condition as contemplated by Section 110 of the Delaware General Corporation Law (Article III, Section 10). The Bylaws were also amended to make certain other clarifications and technical or non-substantive changes.

Item 5.07 | Submission of Matters to a Vote of Security Holders. |
On May 6, 2021, the Company held its 2021 Annual Meeting of Shareholders (the “Annual Meeting”). The Company’s shareholders voted upon four proposals at the Annual Meeting and the final results of the shareholder vote on each proposal were as follows:
Proposal 1: Election of Directors for Terms Expiring in 2024
The shareholders elected three candidates nominated by the Board of Directors to serve as directors of the Company for three-year terms expiring at the annual meeting of shareholders to be held in 2024 or until their respective successors, if any, have been elected and qualified.
