Explanation of Responses:

1. The number of shares reported includes 9,638 time-vested restricted shares of Common Stock granted to the Reporting Person on April 17, 2020, under the Company's Stock Incentive Plan of 2016.

2. On February 14, 2020, the Reporting Person was granted 5,350 restricted stock units, vesting as follows, subject to the Reporting Person's continued employment: 20%, 20%, 30% and 30% on each of the first, second, third and fourth year anniversaries of the grant date, respectively. The restricted stock units have no expiration date.

3. Restricted stock units convert into shares of Common Stock on a one-for-one basis.

4. On February 14, 2020, the Reporting Person was granted 3,000 restricted stock units, vesting 100% on the first anniversary of the grant date, subject to the Reporting Person's continued employment. The restricted stock units have no expiration date.
