Item 8.01. Other Events.
On February 28, 2007, Sonus Networks, Inc. (the “Company”) announced that it expected to receive from the Securities and Exchange Commission (“SEC”) a notice of formal order of investigation relating to the Company’s stock option granting practices. On March 15, 2007, the Company received from the SEC staff a formal order of private investigation. The Company has been fully cooperating with the SEC and will continue to do so.
