In the upcoming Annual General Meeting of Shareholders of ClickSoftware Technologies Ltd. (the "Company") scheduled for June 28, 2012, the Company’s shareholders will vote on a proposal to approve the grant of options to Dr. Moshe BenBassat for the purchase of 150,000 Ordinary Shares of the Company. The purpose of this filing is to report that Dr. BenBassat informed the Company’s Board of Directors that, in the event that such grant will be approved by the shareholders, he will voluntarily waive his right to 50,000 of the total amount of 150,000 options, and recommend that such 50,000 options be granted to other key employees of the Company.
