Item 5.03
Amendments to Articles of Incorporation or Bylaws
By Articles of Amendment to Articles of Incorporation dated December 28, 2009 and filed on February 23, 2010, the Registrant (a) increased its authorized share capital from 250,000,000 shares of common stock to 500,000,000 shares of common stock; and (b) decreased the quorum for shareholder meetings from at least a majority of the outstanding shares of stock entitled to vote to 25% of the outstanding shares of stock entitled to vote.
The amendments to the Articles of Incorporation were approved by the shareholders at the annual and special meeting held on September 29, 2009 and reconvened on October 13, 2009.
A copy of the Articles of Amendment to Articles of Incorporation dated December 28, 2009 is furnished as Exhibit 99.1.
