Explanation of Responses:

1. Represents restricted stock granted by the Issuer to the Reporting Person on July 7, 2016 for Reporting Person's service on the board of directors.

2. The filing of Form 4 to correct the disclosure contained in the Form 4 filed on July 26, 2016. The Reporting Person disclaims beneficial ownership of any Issuer shares of Common Stock held by LMIF Investment LLC, ("LMIF"), Longview Marquis Master Fund LP ("Longview"), and SMF Investments LLC ("SMF"). The natural person with ultimate voting or investment control over the shares of Common Stock held by each of LMIF, Longview and SMIF is Merrick Okamoto. The Reporting Person disclaims beneficial ownership of such shares of Common Stock.

3. Represents restricted stock granted by the Issuer pursuant to the 2016 Omnibus Incentive Plan. These shares vest over three years, with 34% vesting on the date of the first anniversary of the grant, 33% vesting on the second anniversary of the date of the grant and 33% vesting on the third anniversary of the date of the grant, subject to continued service through each vesting date.
