Item 8.01. Other Events.

On December 11, 2020, Community Health Systems, Inc. (the “Company”) announced the offering of $1,050 million aggregate principal amount of Senior Secured Notes due 2027 to be issued by its wholly owned subsidiary, CHS/Community Health Systems, Inc. (the “Issuer”). A copy of the press release making this announcement is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

In addition, on December 11, 2020, the Company announced that the Issuer has commenced a cash tender offer for up to $1,000 million of the Issuer’s $2,675 million aggregate principal amount outstanding 6.250% Senior Secured Notes due 2023. A copy of the press release making this announcement is attached hereto as Exhibit 99.2 and is incorporated herein by reference.
