1. Stock Awards granted pursuant to the Berkshire Hills Bancorp, Inc. 2013 Equity Compensation Plan vest 40% in four equal annual installments beginning on October 1, 2016 with the remaining 60% vesting on October 1, 2020.

2. Stock Awards granted pursuant to the Berkshire Hills Bancorp, Inc. 2013 Equity Compensation Plan vest in three annual installments beginning on January 30, 2017.
