Explanatory Note. This Current Report on Form 8-K/A amends the Current Report on Form 8-K (the “Original Form 8-K”) filed by PNM Resources, Inc. (“PNMR”) on September 23, 2011, which reported, among other things, the reduction in PNMR's ownership in Optim Energy, LLC ("Optim Energy") pursuant to a Contribution and Restructuring Agreement dated September 23, 2011. The Original Form 8-K dated September 23, 2011 is being amended to include the pro forma financial information reflecting the reduction in PNMR's ownership in Optim Energy. No other matters are being reported and this Form 8-K/A does not otherwise make any changes to the Original Form 8-K.
