Item 7.01. | Regulation FD Disclosure. |
On November 5, 2019, the United Kingdom Competition & Markets Authority (“CMA”) announced that it had revoked the Initial Enforcement Order made on July 31, 2019 that required salesforce.com, inc. (“Salesforce”) and Tableau Software, Inc. (“Tableau”) to operate separately pending the CMA’s review of Salesforce’s acquisition of Tableau, which closed on August 1, 2019. The CMA’s notice regarding this revocation states that, based on the evidence the CMA received in its assessment of the transaction to date, the CMA considers it appropriate to revoke the Initial Enforcement Order. The revocation of the CMA’s Initial Enforcement Order is not a decision on the transaction, but means that Salesforce and Tableau may now integrate. The deadline for the CMA to issue a decision on the transaction is November 29, 2019.
