The Registrant is subject to a hostile takeover bid filed June 19, 2013 and this has imposed an unexpected and major workload burden on the finance department (three persons), delaying the finalization of the 20-F filing.

Part IV - Item (3)
There are significant changes in the Registrant's results from operations for the year ended February 28, 2013 compared to the year ended February 29, 2012. The following amounts are expressed in Canadian dollars, the reporting currency of the Registrant.
Loss for the year has decreased from $8.2 million to $2.3 million, a decrease of $5.9 million. Within this amount, operating expenses have decreased from $6.5 million to $2.5 million, a decrease of $4.0 million, and "Other income (loss)" items have decreased from a loss of $1.7 million to a gain of $0.2 million, a total decrease of $1.9 million.
The decrease in operating expenses of $4.0 million is made up principally of a decrease of $2.8 million in share-based payments expense, of $0.7 million in professional and consulting fees, and of $0.5 million in salaries and benefits. Share-based payments expense is inherently volatile, depending on grants of stock options, which were significant in fiscal 2012 and minimal in fiscal 2013. Professional and consulting fees diminished in fiscal 2013 because in fiscal 2012 that cost centre experienced significant costs for a proposed M&A transaction which did not complete. Salaries and benefits decreased principally due to the absence of any significant bonus to the CEO in fiscal 2013 whereas there was such a bonus in fiscal 2012.
The decrease in aggregate loss of $1.9 million in "Other income (loss)" items is made up principally of a reduction in corporate advisory fees of $1.7 million, the absence in fiscal 2013 of any writedowns of marketable securities which were $0.3 million in fiscal 2012, the absence in fiscal 2013 of any write-off of exploration and evaluation assets which were $0.1 million in fiscal 2012, offset in part by a reduction in project administration cost recoveries of $0.2 million. Corporate advisory fees diminished due to the expiry of agreements giving rise to these outlays. Writedowns and write-offs arise from market movements in the underlying assets or the disposition thereof. Project administration recoveries diminished due to a reduced budget for funding the Registrant's intangible exploration and evaluation assets.
